Article I.: Name

The name of this organization shall be the Skiatook Roundup Club of the Town of Skiatook, Oklahoma Incorporated.

 

Article II: Purpose

The purpose of this organization shall be to promote the growth, and betterment of the environment and the youth of Skiatook.  This organization shall be a nonprofit with no capital stock.

 

Article III: Membership and Voting Requirements

      Section 1: Single Membership

Shall be open to all interested parties, and shall consist of anyone, as an individual 18yrs of age or older.

          Section 2: Family Membership

A Family membership shall consist of any two or more people considering themselves a family.  Children may remain on their parent’s membership until the age of 21yrs old, after that they must acquire their own membership.

          Section 3: Voting

All members 18yrs of age or older shall be allowed to vote on all questions brought before the members.

          Section 4: Resignations

Any member, who chooses not to renew their membership, may resign in good standing at anytime.

          Section 5: Removal and Bad Standings

A member may be removed from a membership or placed in bad standing for failure to comply with the bylaws, standing rules, and policies of the organization by a two-thirds vote of the board of directors after fifteen (15) days notice in writing, stating the cause for such action.  An opportunity for a hearing before the board shall be given. When placing a member in bad standings, the board shall specify the length of time the member shall remain in bad standing before being restored to good standing.  A member in bad standing must fulfill all obligations of membership but shall forfeit all privileges, including the right to vote, and hold and office.

 

Article IV: Dues

Section 1: Amount

Annual dues shall be $15.00 for a single membership and $20.00 for a Family membership. To take effect January 1, 2009 annual dues shall be $20.00 for a single membership and $25.00 for a Family membership. 

          Section 2: Payable

Membership dues become payable January 1st until October 1st of the current year.

          Section 3: Refunds

                   No refunds on dues will be made.

 

Article V: Officers

The officers of this organization shall consist of President, Vice President, Secretary, Treasurer, Arena Director, Youth Playday Director, Pageant Director.

Section 1: Election

Officers shall be elected at the regular November meeting for a term of one year or until their successors are elected.  Newly elected officers shall assume their duties on January 1st of the following year.

          Section 2: Duties

A.   President

The President shall be the executive officer of this organization, shall preside at all meetings of this organization, and shall preside over all committees. The president shall sign with the secretary on all contracts and obligations authorized by the Board of Directors and the members as a whole.

                   B, Vice President

The vice president shall assist the president and assume the duties of the president in his/hers absence. He/She shall become the president in case of a vacancy.

 

C. Secretary

The secretary shall keep the minutes of all regular and board meetings. He or she shall keep a correct list of the names and address of all members and shall maintain a file of essential records.  The secretaries shall be responsible for notifying the appropriate members of a board of directors meetings.

                   D. Treasurer

The treasurer shall be responsible for the funds of this organization and shall collect and record all dues, and shall make payments and approved by the members or upon order of the officers. He/She shall present financial statements at all regular meetings of this organization and upon request of the officers.  The treasurer shall present to the officers and audited financial report with in 30days of the first of the fiscal year.

                   E. Arena Director

The arena director shall be responsible for the upkeep of the arena. He/She may appoint an assistant.

                   F. Youth Playday Director

The youth playday director shall be responsible for the organization of all playdays, and playday awards.  He/She may appoint an assistant.

                   G. Pageant Director

Shall be appointed position by the officers, and shall be reappointed every year. He/She should carry a voting privilege, the same as an elected officer.

                    H: Vacancies

Vacancies among officers, with exception of the President, shall be filled for the remainder of the term, by appointment of the officers.

 

Article VI: Meetings

       Section 1: Regular Meetings

Regular meetings shall be held the third Thursday of each month.  Unless a conflict in the date should arise.

         

Section 2: November Meeting

Shall be held the third Thursday of November, as a regular meeting, unless the conflict of interest shall arise.

          Section 4: Eligibility

A. To be eligible to vote in the November election you must be 18yrs of age or older and a member in good standings 60 Sixty days prior to the officer elections.

B. All members in good standings 21yrs of age or older shall be eligible to hold office.

Article VII: Board of Directors

A.     The Board of Directors shall consist of the following voting members:  the Executive Committee, and Seven members at large.

B.      Members at large shall be elected at the regular November meeting and serve for three years.

Section 1: Duties

A.     The control and executive power of the Skiatook Roundup Club shall be vested in a board of directors.  The board of directors shall have general charge and control of the affairs, funds, and property of the club.  Any proposed sales of assets or incurring of any debt shall be approved by the Board of Directors.  All Board of Directors shall be given notice in advance of any meeting in which the sale of assets or the incurring of any debt will be discussed and voted upon.  The Board of Directors shall be responsible for seeing that the bylaws, and standing rules and policies are consistent and up to date with the club’s program and their decision on question of their interpretation shall be final.

B.      Any member of the board of Directors who shall be absent from three (3) consecutive board meetings shall be deemed to have resigned from the board unless just cause can be shown for their absences.  A vote of the Board shall determine just cause.

Section 2: Meetings

A: Meeting of the Board of Directors who shall be called as deemed necessary by the executive committee.

B: Any member in good standing shall have the right to present any grievance, in writing, to any member of the Executive Committee, and the grievance shall be discussed at the next board meeting, but that member shall not have the right to vote.

            Section 3: Vacancies

Vacancies of the Board of Directors shall be filled by the Board of Directors and the Executive Committee.  They shall serve until the expiration of the original term.

           

Article VIII: Executive Committee

A.     There shall be an executive committee composed of the president, vice president, secretary, treasurer, arena director, youth playday director, and pageant director.

B.    No Member of the executive committee may also be an officer of any other roundup club.  This later to take effect as of January 1, 1995.

 

Article IX: Parliamentary Authority

Roberts Rules of Order Newly Revised shall be parliamentary authority of all matters of procedure not specifically covered in these by-laws or by specific rules of procedure adopted by this organization.

 

Article X: Standing Rules

A: The standing rules have the same force and effect as the bylaws and shall be binding to all members.

B: The standing rules must be reviewed every year in January and changed to meet the standards of members.  These changes must be approved by executive committee, and Board of Directors.

C:  All current members should receive a copy of the rules and bylaws no later than 30days of becoming a member of the Skiatook Roundup Club.

 

Article XI: Amendments

These by-laws may be amended by two Thirds vote of members at the regular meeting of this organization and approved by the board of directors.  These amendments must be submitted in writing and presented to the board of directors to be approved.
